Terms of Service

Effective Date: February 1, 2026

1. Nature of Services

DB Investment & Consulting provides structured written advisory services intended to assist clients in evaluating defined operational matters. Advisory responses are analytical in nature and are provided solely for informational purposes.

All advisory engagements are fulfilled through structured written responses delivered electronically.

Services provided by DB Investment & Consulting do not constitute legal, accounting, tax, investment, fiduciary, or other licensed professional advice.

Advisory responses are based solely on the information provided by the client and do not constitute an independent investigation or verification of facts.

2. No Guarantee of Outcome

DB Investment & Consulting makes no representations or warranties regarding specific outcomes, business performance, compliance results, financial improvements, operational success, or strategic results arising from any advisory response.

3. Client Responsibility
The Client retains sole and exclusive responsibility for all business decisions, actions, and implementation of any advisory response provided by DB Investment & Consulting.

All advisory services are analytical evaluations intended to assist decision-making and do not replace independent judgment or professional consultation where required.

4. Limitation of Liability

To the fullest extent permitted by law, the total liability of DB Investment & Consulting arising out of or related to any advisory engagement shall not exceed the total fees paid by the Client for the specific advisory engagement.

In no event shall DB Investment & Consulting be liable for indirect, incidental, consequential, punitive, or special damages.

5. Indemnification

The Client agrees to indemnify, defend, and hold harmless DB Investment & Consulting and its members, officers, agents, and affiliates from any claims, liabilities, damages, or expenses arising from reliance on advisory responses or the Client’s implementation of recommendations.

6. No Fiduciary Relationship

The engagement between the Client and DB Investment & Consulting does not create a partnership, joint venture, fiduciary, employment, or agency relationship.

7. Governing Law

These Terms of Service shall be governed by and interpreted in accordance with the laws of the State of California.

8. Dispute Resolution

Any dispute arising out of or relating to services provided by DB Investment & Consulting shall be resolved through binding arbitration in the State of California.

9. Acceptance of Terms

By submitting payment and initiating an advisory engagement, the Client acknowledges that they have read, understood, and agreed to these Terms of Service.
